Terms of Use and Service
These Terms govern your use of billiq.com and related services (the “Service”) provided by BillIQ (“BillIQ,” “we,” “us”). By using the Service you agree to these Terms and to our Privacy Policy, which explains how we handle your information. If you do not agree, do not use the Service.
1. The Service
BillIQ is a bill-management service that firms use to record, approve and pay bills, print checks and keep a check register. We may change, add or remove features at any time.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. If you create an account, give accurate information, keep your password confidential and tell us promptly about any unauthorized use. You are responsible for activity under your account.
3. Acceptable use
You agree not to:
- Break any law or help anyone else do so, or infringe anyone's intellectual property, privacy or publicity rights.
- Harass, threaten, defraud, impersonate or mislead anyone, or post content that is hateful, obscene or sexually exploitative.
- Send spam or unsolicited commercial messages.
- Scrape, crawl or harvest data from the Service, or use it to build a competing product, without our written permission.
- Probe, attack or interfere with the Service's security or operation, or upload malware.
- Get around any limit, access control or payment requirement.
4. Rules specific to BillIQ
- Each firm is responsible for who it adds as a user and for the accuracy of the records it enters. BillIQ is a record-keeping tool; it does not move money, and you remain responsible for every check you print and every payment you make.
- Check printing produces the text of a check on your own check stock. Confirm payee, amount and check number before printing and mailing any check.
- BillIQ is not accounting, tax or legal advice.
5. Your content
You keep ownership of the content you submit (text, photos, files, messages and other material). You give us a non-exclusive, worldwide, royalty-free license to host, store, copy, display and transmit that content only as needed to operate, secure and improve the Service and to show it to the people you choose. This license ends when you delete the content or your account, except for copies we must keep for legal reasons or that others have already received. You confirm you have the rights needed to submit your content and that it does not violate these Terms. We may remove content or restrict accounts that we believe violate these Terms or put others at risk, but we are not obligated to monitor content.
6. Fees
The Service is currently offered without charge. If we introduce paid features, we will show the price and terms before you buy.
7. Other people and services
The Service may link to or rely on third-party sites and services we do not control. We are not responsible for them, and your use of them is at your own risk and subject to their terms.
8. Our intellectual property
The Service, including its software, design, text, graphics and logos, belongs to InfoTilt, Inc. or its licensors and is protected by law. We give you a limited, revocable, non-transferable license to use the Service for its intended purpose under these Terms. Do not copy, modify or redistribute it except as the Service allows.
9. Copyright complaints
If you believe content on the Service infringes your copyright, email support@billiq.com with your contact details, a description of the work, the location of the material on the Service, a statement of good-faith belief that the use is not authorized, and a statement under penalty of perjury that your notice is accurate and that you are the owner or authorized to act for the owner, signed physically or electronically. We may remove the material and terminate repeat infringers.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY INFORMATION ON IT IS ACCURATE OR COMPLETE. WE DO NOT VERIFY THE IDENTITY OR STATEMENTS OF OTHER USERS. Some jurisdictions do not allow these disclaimers, so some of them may not apply to you.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BILLIQ AND ITS OWNERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100). These limits do not apply where the law does not allow them.
12. Indemnity
You agree to defend and hold harmless BillIQ and its owners, officers, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, or your violation of these Terms or of anyone's rights.
13. Suspension and termination
You may stop using the Service and close your account at any time (or ask us to, at support@billiq.com). We may suspend or end your access if you violate these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive (such as content licenses already granted for others' copies, disclaimers, limitation of liability, indemnity and governing law) survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey and applicable U.S. federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. Any dispute that is not resolved will be brought only in the state or federal courts located in Hudson County, New Jersey, and you and we consent to their jurisdiction, except that either party may bring an individual claim in small-claims court. To the extent permitted by law, claims must be brought individually and not as a plaintiff or class member in a class or representative proceeding.
15. Changes to these Terms
We may update these Terms. We will post the new version here with a new effective date and, for material changes, give notice on the Service or by email. Continuing to use the Service after the effective date means you accept the updated Terms.
16. General
These Terms and our Privacy Policy are the entire agreement between you and us about the Service. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a sale or reorganization of the Service.
